JINYAL Kullanıcı Sözleşmesi (Türkçe) *1. Taraflar ve Tanımlar* 1.1. Bu Kullanıcı Sözleşmesi ("Sözleşme"), [Tarih] tarihinde, merkezi Akkent mah.Çorum ticaret Borsası kompleksi no 11/F merkez/ÇORUM/TÜRKİYE adresinde bulunan JINYAL platformu ile siteyi kullananan bireysel ve kurumsal müşterilerimiz arasında akdedilmiştir. 1.2. Bu Sözleşme'de geçen; - Platform: JINYAL tarafından sunulan internet sitesi ve mobil uygulamalar üzerinden erişilebilen tüm hizmetler. - *Kullanıcı:* JINYAL Platform'a kayıt olan veya herhangi bir şekilde Platform'u kullanan gerçek veya tüzel kişi. - *İçerik:* Platform üzerinden paylaşılan yazılı, görsel, işitsel ve dijital materyaller ve diğer teklif ve lojistik hizmetler. - *Hizmet:* Platform üzerinden Kullanıcı'ya sunulan tüm hizmetler. - *Kullanıcı Hesabı:* Kullanıcı'nın Platform'a erişim sağlamak ve Hizmetlerden yararlanmak için oluşturduğu hesap. *2. Sözleşmenin Konusu ve Kapsamı* 2.1. Bu Sözleşme, Kullanıcı'nın Platform'dan faydalanma koşulları ve Şirket’in sağladığı Hizmetlerden yararlanmasına ilişkin usul ve esasları belirler. *3. Kullanıcı Kayıt ve Hesap Yönetimi* 3.1. Kullanıcı, Platform’a kayıt sırasında doğru, eksiksiz ve güncel bilgiler sağlamak zorundadır. 3.2. Kullanıcı, hesabının güvenliğinden sorumludur ve hesabını üçüncü kişilerle paylaşamaz. 3.3. Şirket, şüpheli hesap hareketlerini izleme ve gerektiğinde hesabı askıya alma veya kapatma hakkına sahiptir. *4. Hizmetlerin Kullanımı* 4.1. Kullanıcı, Platform'u yalnızca yasal ve izin verilen amaçlar doğrultusunda kullanacağını kabul eder. 4.2. Kullanıcı, Platform üzerinden diğer kullanıcılara, Şirket’e veya üçüncü kişilere zarar verebilecek, yanıltıcı, yanıltıcı olmayan, yanıltıcı içerik veya bilgileri paylaşmayacağını taahhüt eder. 4.3. Şirket, Platform’da sunulan Hizmetlerin sürekli, kesintisiz veya hatasız olacağını garanti etmez. *5. Kullanıcı Yükümlülükleri* 5.1. Kullanıcı, Platform’un güvenliğini tehlikeye atacak, virüs bulaştıracak veya diğer zararlı yazılımlar yüklemeyecek veya dağıtmayacaktır. 5.2. Kullanıcı, diğer kullanıcıların haklarını ihlal eden, taciz eden veya başka bir şekilde rahatsız edici davranışlarda bulunmayacaktır. 5.3. Kullanıcı, Şirket’in belirlediği kurallara ve politikalarına uyacağını kabul eder. *6. Şirketin Hak ve Yükümlülükleri* 6.1. Şirket, Platform’un kesintisiz ve güvenli bir şekilde çalışması için makul çabayı gösterir. 6.2. Şirket, Kullanıcı verilerini Gizlilik Politikası’na uygun şekilde korur ve işler. 6.3. Şirket, Platform’da sunulan Hizmetlerin kapsamını ve içeriğini değiştirme, genişletme veya sınırlama hakkına sahiptir. *7. Fikri Mülkiyet Hakları* 7.1. Platformda yer alan tüm içerikler, yazılımlar ve tasarımlar Şirket’e aittir veya lisans altında kullanılmaktadır. Kullanıcı, bu içerikleri Şirket’in yazılı izni olmadan kopyalayamaz, dağıtamaz veya ticari amaçla kullanamaz. 7.2. Kullanıcı, Platform üzerinde oluşturduğu veya paylaştığı içeriklerin Şirket tarafından kullanılmasına, çoğaltılmasına, dağıtılmasına ve ticari olarak kullanılmasına izin verir. *8. Üçüncü Taraf Bağlantıları* 8.1. Platform, üçüncü taraf sitelere veya hizmetlere bağlantılar içerebilir. Bu bağlantılar yalnızca Kullanıcı'nın kolaylığı için sağlanmıştır ve Şirket bu sitelerin içeriği veya güvenliği hakkında herhangi bir sorumluluk kabul etmez. *9. Sözleşme Değişiklikleri* 9.1. Şirket, işbu Sözleşme’yi tek taraflı olarak değiştirme hakkına sahiptir. Değişiklikler, Platform üzerinden duyurulacak ve Kullanıcı’nın Platform’u kullanmaya devam etmesi, bu değişiklikleri kabul ettiği anlamına gelecektir. *10. Sözleşmenin Feshi* 10.1. Kullanıcı, istediği zaman hesabını kapatarak bu Sözleşme’yi feshedebilir. 10.2. Şirket, Kullanıcı’nın bu Sözleşme’yi ihlal etmesi durumunda Sözleşme’yi feshederek Kullanıcı’nın hesabını kapatma hakkına sahiptir. *11. Uygulanacak Hukuk ve Yetki* 11.1. Bu Sözleşme, Türkiye Cumhuriyeti yasalarına tabi olup, taraflar arasında doğabilecek her türlü uyuşmazlığın çözümünde Çorum Mahkemeleri ve İcra Daireleri yetkilidir. *12. İletişim Bilgileri* 12.1. Her türlü soru, öneri ve şikayetleriniz için bizimle info@jinyal.com üzerinden iletişime geçebilirsiniz. İşbu Sözleşme, Kullanıcı’nın Platform’a kayıt olması veya Platform’u kullanmaya devam etmesi ile yürürlüğe girer. JINYAL [Tarih] JINYAL User Agreement (English) *one. Parties and Definitions* 1.1. This User Agreement ("Agreement") was concluded on [Date] between the JINYAL platform, headquartered at Akkent mah.Çorum Commodity Exchange complex no 11/F center/ÇORUM/TURKEY, and our individual and corporate customers using the site. 1.2. In this Agreement; - Platform: All services accessible through the website and mobile applications offered by JINYAL. - *User:* Natural or legal person who registers to the JINYAL Platform or uses the Platform in any way. - *Content:* Written, visual, audio and digital materials and other offers and logistics services shared on the platform. - *Service:* All services offered to the User through the Platform. - *User Account:* The account created by the User to access the Platform and benefit from the Services. *2. Subject and Scope of the Agreement* 2.1. This Agreement determines the conditions for the User to benefit from the Platform and the procedures and principles regarding the use of the Services provided by the Company. *3. User Registration and Account Management* 3.1. The User must provide accurate, complete and up-to-date information when registering to the Platform. 3.2. The user is responsible for the security of his account and cannot share his account with third parties. 3.3. The Company has the right to monitor suspicious account activity and suspend or close the account when necessary. *4. Use of Services* 4.1. The User agrees to use the Platform only for lawful and permitted purposes. 4.2. The User undertakes not to share misleading, non-misleading or deceptive content or information on the Platform that may harm other users, the Company or third parties. 4.3. The Company does not guarantee that the Services offered on the Platform will be continuous, uninterrupted or error-free. *5. User Obligations* 5.1. The User will not upload or distribute any viruses or other harmful software that will compromise the security of the Platform. 5.2. The User will not engage in behavior that violates the rights of other users, is harassing or otherwise disruptive. 5.3. The User agrees to comply with the rules and policies determined by the Company. *6. Rights and Obligations of the Company* 6.1. The Company makes reasonable efforts to ensure that the Platform operates uninterruptedly and securely. 6.2. The Company protects and processes User data in accordance with the Privacy Policy. 6.3. The Company has the right to change, expand or limit the scope and content of the Services offered on the Platform. *7. Intellectual Property Rights* 7.1. All content, software and designs on the platform belong to the Company or are used under license. The User cannot copy, distribute or use these contents for commercial purposes without the written permission of the Company. 7.2. The User allows the Company to use, reproduce, distribute and commercially exploit the contents created or shared on the Platform. *8. Third Party Links* 8.1. The Platform may contain links to third-party sites or services. These links are provided for the User's convenience only and the Company does not accept any responsibility for the content or security of these sites. *9. Contract Changes* 9.1. The Company has the right to change this Agreement unilaterally. Changes will be announced on the Platform and the User's continued use of the Platform will mean that he/she accepts these changes. *10. Termination of Contract* 10.1. The User may terminate this Agreement at any time by closing his account. 10.2. The Company has the right to terminate the Agreement and close the User's account if the User violates this Agreement. *11th. Applicable Law and Jurisdiction* 11.1. This Agreement is subject to the laws of the Republic of Turkey and Çorum Courts and Enforcement Offices are authorized to resolve any disputes that may arise between the parties. *12. Contact information* 12.1. You can contact us via info@jinyal.com for any questions, suggestions and complaints.
